Terms of Use

1. Acceptance of Terms

By purchasing, activating, or using Guardia AI through the Microsoft Azure Marketplace or directly, you ("Customer," "you") agree to be bound by these Terms of Use. If you are accepting on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, do not activate or use the Service.

2. Description of Service

Guardia AI is a cloud-based AI compliance scanning platform ("Service") that:

The Service is provided as software-as-a-service (SaaS). No software is installed on Customer premises.

3.1 Billing

When purchased through Azure Marketplace, billing is managed entirely by Microsoft under the Microsoft Customer Agreement. Guardia AI does not directly process or store Customer payment information.

3.2 Plan Changes

Plan changes take effect immediately. Downgrading restricts scanning to frameworks included in the new plan. No refunds are provided for partial months except where required by applicable law.

3.3 Cancellation

Customers may cancel through the Azure Marketplace portal at any time. Cancellation takes effect at the end of the current billing period.

4. Customer Responsibilities

4.1 Azure Credentials

Customer is solely responsible for creating and managing the Azure Service Principal provided to Guardia AI, ensuring it has only the minimum required permissions (Reader, Resource Policy Reader, Security Reader, Monitoring Reader), and revoking access upon cancellation.

4.2 Authorized Use

Customer agrees to use the Service only for lawful compliance monitoring within Azure subscriptions that Customer owns or is authorized to access. Use of the Service to scan third-party subscriptions without authorization is strictly prohibited.

4.3 Compliance Obligations

⚠️ The Service provides automated scanning as a compliance aid. It does not constitute legal, regulatory, or audit advice. Customer remains solely responsible for their compliance obligations under all applicable laws and regulations.

5. Intellectual Property

5.1 Guardia AI IP

All software, algorithms, compliance rule mappings, scoring methodologies, AI prompts, documentation, and materials comprising the Service are the exclusive intellectual property of Guardia AI, protected by copyright, trade secret, and other applicable laws.

5.2 Customer Data

Customer retains all ownership rights to their Azure resource data and scan results. By using the Service, Customer grants Guardia AI a limited, non-exclusive license to process Customer data solely for the purpose of providing the Service.

5.3 Restrictions

Customer shall not reverse engineer the Service, resell or sublicense it or its outputs, use it to build a competing product, or remove proprietary notices.

6. Data and Security

Guardia AI processes Azure resource metadata, RBAC assignments, policy assignments, and diagnostic settings. We do not access Customer application code, end-user PII, or resource content. Each Customer's data is logically isolated. See our Privacy Policy for full details.

7. Availability and Support

Guardia AI targets 99.5% monthly uptime for paid plans.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GUARDIA AI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUARDIA AI'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL GUARDIA AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

9. Indemnification

Customer agrees to indemnify and hold harmless Guardia AI from claims arising out of Customer's use of the Service in violation of these Terms, breach of any representation, violation of applicable law, or unauthorized access to Azure subscriptions using the Service.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved by binding arbitration under AAA rules, except either party may seek injunctive relief to protect intellectual property rights.

11. Modifications

Guardia AI may update these Terms from time to time with 30 days' notice for material changes. Continued use of the Service after notice of changes constitutes acceptance.
